FIRST ORDER OF BUSINESS IS PUBLIC COMMENTS ON AGENDA ITEMS OF WHICH I DO NOT SHOW ANY SO WE WILL MOVE RIGHT TO OUR WE'RE GOING TO DISCUSS ANY REGULAR MEDIUM JEN ITEMS THAT CANCER WOULD LIKE TO UM, ENGAGE IN DIALOGUE WITH STAFF THAT IS PRESENT. IF THERE IS ANY ON THE AGENDA THAT YOU'D LIKE TO DISCUSS NOW, PRIOR TO TONIGHT'S MEETING. MAKE IT KNOWN. GOOD AFTERNOON MAYOR, MEMBERS OF THE COUNCIL MR CITY MANAGER, AARON WARNER, EXECUTIVE DIRECTOR WITH VISIT MCKINNEY HERE BEFORE YOU THIS MORNING TO BRING FORTH SOME OF THE RECOMMENDED AMENDMENTS TO OUR BYLAWS FOR VISIT MCKINNEY. THE CURRENT BYLAWS THAT WE HAVE WERE ADOPTED IN 2016. SO IT'S BEEN SOME TIME SINCE THEY WERE LOOKED AT WE HAVE WE HAD A FAIR AMOUNT OF BOARD SEATS THAT ROLLED OVER IN THIS PAST THIS PAST BOARD CYCLE AS WELL AS ONE MORE TONIGHT, SO OUR PREVIOUS BOARD CHAIR AND OTHERS WANTED TO MAKE SURE THAT WE TOOK TIME TO EVALUATE OUR BYLAWS AND MAKE A FEW CHANGES BEFORE WE HAD SOME SIGNIFICANT CHANGES. SO THE VISIT MCKINNEY BOARD CHAIR VINCE VIDEO, ASSIGNED A COMMITTEE TO REVIEW AND MAKE RECOMMENDATIONS OF THE AMENDMENTS. FOR OUR BYLAWS. THIS WAS TOTALLY DONE BY THE BOARD. UM AND THEN AT THE AUGUST 23RD MEETING THE VISIT, MCKINNEY BOARD APPROVED THE AMENDMENTS THAT WERE PRESENTED JUST A QUICK OVERVIEW OF OUR STRUCTURE AS A REMINDER WHEN WE LOOK AT THINGS LIKE BYLAW CHANGES FOR OUR DEPARTMENT VISIT , MCKINNEY IS A COMPONENT UNIT OF THE CITY OF MCKINNEY, SIMILAR TO THE M E. D. C OR M C. D. C WE DO ANSWER TO A GOVERNING BOARD, WHICH IS APPOINTED BY YOU, THE CITY COUNCIL. UM AND THEN WE ALSO HAVE ANOTHER DOCUMENT CALLED THE EMPLOYEE MANAGEMENT AND CONTROL AGREEMENT. THAT'S WITH THE CITY OF MCKINNEY. THAT COINCIDES WITH OUR DEPARTMENT. HOW IT OPERATES WITH THE CITY. THIS MEANS THAT ALL THE EMPLOYEES UNDER M C V V. M C VB R VISIT MCKINNEY, OUR CITY OF MCKINNEY EMPLOYEES, BASICALLY ON LOAN TO THE ORGANIZATION. ONE THING IN THE PROCESS OF LOOKING AT OUR BYLAW CHANGES THAT THE CITY ATTORNEY DOES OR DID FIND THAT THIS DOCUMENT WILL ALSO NEED TO BE UPDATED, AND WE'LL BRING THAT FORWARD AT A FUTURE MEETING TO MAKE SURE IT COINCIDES WITH THE BYLAW CHANGES THAT WERE RECOMMENDED. SO A BRIEF OVERVIEW OF SOME OF THE SIGNIFICANT CHANGES THAT WERE IN THE BYLAWS. THERE WERE OTHER ONES THAT WERE GRAMMATICAL OR CHANGING OF TERMS THAT HAVE THAT ARE NO LONGER NEEDED FROM 2016 IN SECTION SIX, THE CITY SECRETARY AT WE ARE MAKING IT WHERE THE SECRETARY TREASURER DOES NOT HAVE TO RECORD THE MINUTES AND THAT WILL NOW BE DONE BY OUR BOARD CLERK. UH SECTION SEVEN, THE SUBCOMMITTEE OF THE BOARD. IT WAS AMENDED TO ALLOW ALTERNATE BOARD MEMBERS TO BE A PART OF OUR SUBCOMMITTEES. SECTION NINE UNDER PERSONNEL. THIS IS PROBABLY THE MOST SIGNIFICANT CHANGE THAT YOU'LL SEE IN OUR BYLAWS SINCE THE CITY OF THE EMPLOYEES AND VISIT MCKINNEY, OUR CITY OF MCKINNEY EMPLOYEES, UM EVERYONE, EXCEPT FOR MYSELF WILL WILL FALL NOW UNDER THE EXECUTIVE DIRECTOR SUPERVISION AND WE WILL WORK WITH OUR CITY TEAM AND HR DEPARTMENT. THINGS LIKE THAT FOR ANY EMPLOYEE RELATION ISSUES IF THE BOARD SEES SOMETHING THAT THEY NEED TO ADDRESS DRESS WITH THE EXECUTIVE DIRECTOR ROLE, THEN THEY CAN DO THAT DIRECTLY WITH ME, BUT ALL OTHER EMPLOYEES WILL FALL. UNDER MY SUPERVISION , AND THAT IS REALLY HOW WE'VE OPERATED IN IN OUR DEPARTMENT. IT'S SO THIS IS MORE ADDRESSING THE ACTUAL CHANGES IN THE BYLAWS . SECTION FOUR. ANOTHER AMENDMENT FOR THE SECRETARY SECRETARY TREASURER POSITION ON OUR BOARD, AND WE NOW READS THAT EXECUTIVE DIRECTOR OR MY DESTINY WAR, MAINTAIN THE FINANCIAL REPORTS. WE DON'T HAVE. WE DON'T NEED A VOLUNTEER BOARD POSITION, TRYING TO MAINTAIN THOSE THOSE REPORTS, EVEN THOUGH THERE WE HAVE A FINANCE COMMITTEE THAT HELPS OVERVIEW OVERSEE OUR ALL OF OUR FINANCES. AND THEN THE LAST ONE UNDER COMMITTEES. WE HAVE TWO LONG STANDING COMMITTEES THAT WERE NOT REPRESENTED IN 2016. WE HAVE A MARKETING COMMITTEE AND A HUMAN RESOURCES COMMITTEE THAT IS WHO OVERSEES MY EVALUATIONS IN ANY NEEDS LIKE THAT. AND SO THOSE HAVE NOW BEEN FORMALLY ADDED TO OUR BYLAWS UNDER COMMITTEES. AND WITH THAT I STAND FOR ANY QUESTIONS YOU MIGHT HAVE. AND MAYBE ONE MORE COMMENT HERE. UM [00:05:05] I WANT TO COMMEND AARON AND, UH , THE BOARD FOR THE WORK THEY DID ON THIS. AND AS YOU KNOW, THE BYLAWS FOR ALL THESE SUB COMPONENT UNITS ARE TO BE APPROVED BY THE CITY COUNCIL. I THOUGHT IT WOULD BE IMPORTANT FOR HIM TO NOT ONLY GET UP HERE AND EXPLAIN SOME OF THESE THINGS, BUT TO LET YOU KNOW WHAT'S COMING AHEAD. THIS WILL COME IN A SUBSEQUENT MEETING. UM ON THE PERSONNEL ISSUE, AND I WANTED TO COMMEND ERIN PARTICULARLY THAT UM WE'RE NOW GOING TO MOVE INTO KIND OF THE NORMAL WORLD WHERE THE EXECUTIVE DIRECTOR WILL REVIEW HIS EMPLOYEES AND WILDERNESS. SUPERVISE UTILIZE H R AND THAT HAS BEEN A LITTLE BIT. OVER THE YEARS, A LITTLE BIT PROBLEMATIC THE WAY IT WAS WRITTEN BEFORE WHERE THE BOARD WAS INVOLVED WITH THE EMPLOYEES, AND I THINK THAT THE SUGGESTED CHANGES OF THE APPROVED CHANGES ARE THE REALLY THE PROPER WAY THAT THESE SUB UNITS SHOULD BE OPERATING SO THEY'LL BE RELYING ON HR JUST LIKE OUR EMPLOYEES ARE AND IT WILL BE SOMEWHAT SEAMLESS. AND, OF COURSE, ERIN WILL BE WORKING WITH HR, SO I DIDN'T WANT TO POINT THAT OUT, AND THESE WILL ACTUALLY COME ON A CONSENT AGENDA IN TWO WEEKS IF WE GET THEM ALL. PUT TOGETHER AND THAT SECONDARY AGREEMENT WILL NOT HAVE TO COME TO YOU. BUT IT WILL BE AMENDED IN CONJUNCTION WITH THIS. ANY QUESTIONS? THIS SEEMS TO BRING.
